Terms of Service

The agreement for using Punctual: accounts, plans, payments, acceptable use and liability.

These Terms of Service ("Terms") are an agreement between you (and the organisation you represent) and Daarun Najaah Global Services ("DNGS", "we", "us"), the operator of Punctual, a GPS-verified staff attendance app available as a web app and installable PWA. By creating an account, joining an organisation or using Punctual you accept these Terms.

1. Who can use Punctual

You must be at least 18 and able to enter a binding agreement. An organisation admin ("Admin") creates a workplace and is responsible for it. Staff join using the organisation's join code. If you use Punctual for an organisation, you confirm you are authorised to do so.

2. Accounts and security

Keep your login details private and tell us promptly if you suspect misuse. Staff accounts are bound to a registered device to prevent others clocking in for you. You are responsible for activity under your account unless it results from our failure to protect it.

3. The service

Punctual lets organisations record clock-in and clock-out with location checks, manage staff, shifts and schedules, review records and reports, and send alerts. Features available to an organisation depend on its plan (Free Trial, Basic, Lite or Gold) as described on our pricing page. We may improve, add or retire features; we will not remove a paid feature during a paid period without a reasonable substitute or a pro-rata extension.

Because access starts when payment is confirmed, fees are generally non-refundable. If the service materially failed to work as described and we could not fix it, contact us within 7 days of payment at support@afrisalespro.com and we will review a refund or extension in good faith. Nothing here limits rights you have under applicable consumer law.

6. Your data and your responsibilities as an organisation

The organisation owns the attendance and staff data it puts into Punctual. For that data the organisation decides why and how staff information is collected and we act on its instructions, as explained in our Privacy Policy. Admins must inform their staff about the location, photo and face-check features before using them and must have a lawful basis for collecting that data, including obtaining consent where the law requires it. Admins decide settings such as radius, device binding and live location tracking.

7. Acceptable use

Use of Punctual must comply with our Acceptable Use Policy. We may suspend access that breaks it or puts the service or others at risk.

8. Intellectual property

Punctual, its software, design and branding belong to DNGS. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You keep rights in your own data and grant us the right to host and process it only to run the service for you.

9. Availability and support

We work to keep Punctual available and describe our targets in the Service Level Agreement. The app can record clock-ins while a phone is offline and syncs when connection returns. Location accuracy depends on the user's device and surroundings.

10. Suspension and termination

You may stop using Punctual at any time. We may suspend or end access for non-payment, breach of these Terms or unlawful use, with notice where practical. On termination an Admin may ask us to export or delete the organisation's data as described in the Privacy Policy.

11. Disclaimers and limits of liability

Punctual is a record-keeping tool; it does not make employment, payroll or disciplinary decisions, and organisations remain responsible for those decisions. To the extent the law allows, the service is provided "as is", and our total liability for any claim arising from the service is limited to the fees you paid for the plan in the 12 months before the claim. We are not liable for indirect or consequential loss, loss of profits, or outages of internet, GPS, device or third-party services. Nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Changes to these Terms

We may update these Terms. We will post the new version here and, for material changes, notify Admins in the app or by email. Continued use after the effective date means you accept the update.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Courts in Nigeria have jurisdiction, after the parties have first tried in good faith to resolve the dispute by discussion.
